Senior Counsel, Compliance The candidate will focus first and foremost on providing legal advice and training to ensure that the organization is compliant with all applicable federal, state, and local laws, rules, and regulations affecting its operations and business functions. Equally important, work with leadership and employees to ensure compliance with company’s policies and procedures, including the organization’s Code of Ethics and Ethics Policy. Provide advice and counsel to the company and its subsidiary companies on a wide range of compliance-related matters, including political law (e.g., gift and lobbying laws), procurement law, and general corporate compliance issues. Work with leadership to establish an appropriate compliance culture throughout the company, including the development of policies and procedures and specialized training programs designed to prevent illegal, unethical, or improper conduct. Oversee and manage the organization's annual compliance assessment, and refine that assessment in light of evolving regulatory or business requirements. Identify potential areas of compliance vulnerability and risk, and develop and implement corrective action plans for resolution of problematic issues. Ensure that relevant compliance standards are incorporated into the organization’s products, services, systems, and processes. Develop and oversee a system for uniform handling of alleged violations of laws, rules, regulations, policies, procedures, and the Code of Ethics, including collaborating with other departments (e.g., Risk Management, Internal Audit, etc.) to ensure that alleged violations are directed to the appropriate channel for investigation and resolution. Maintain an effective compliance communication program for the organization, including promoting (a) the use of the Ethics Hotline, (b) a heightened awareness of the Code of Ethics and the Ethics Policy, and (c) an understanding of new and developing compliance issues. Conduct research regarding legal and compliance issues affecting company’s business, translating complex laws and regulations into practical advice and solutions. Communicate effectively with staff in all areas of the company, outside counsel, and other third parties and their counsel. Manage efficient use of outside counsel. Anticipate legal needs and proactively recommend solutions for meeting these needs. Maintain current knowledge of trends and legal issues as they relate to company’s business. May provide legal advice and counsel on other matters as needed. Juris Doctor Degree from an ABA-accredited law school required. CCEP Certified Compliance and Ethics Professional (CCEP) certification preferred. 7+ years of experience as a compliance attorney in a law firm or corporate legal department required. Significant experience in partnering with business clients and cross-functional teams and leading strategic projects and initiatives required. Active, good standing state license to practice law required. Experience working in a corporate legal department is preferred. Strong analytical, drafting, and negotiation skills, as well as excellent oral and written communication skills and judgment required. Sophisticated interpersonal skills, including the ability to develop strong internal relationships, influence others, and work as part of cross-functional teams and in partnership with team members at all levels of the organization required.
