Attorney Senior/Principal Duties: Prepares and reviews contracts involving leases, licenses, purchases, sales, real estate and other matters. Studies legal decisions and proposed and existing statutes and regulations affecting the organization and advises affected departments. Gives legal advice with respect to administration and prepares resolutions and forms. Reviews and approves correspondence and statements from a legal standpoint. Anticipates and guards against legal risks involving the organization. Participates in legal actions. Provides legal advice for a number of different areas of the organization. May hire at either a Senior or Principal level, depending on experience. Counsel management on the legal handling of business transactions such as leases and contracts. Identify potential legal issues related to business practices and policies and advise client/management. Draft, and/or review contracts, endorsements and agreements, restructuring where necessary to meet requirements. Review and interpret legal decisions and proposed and existing statutes and regulations. Represent the company at regulatory, legislative and other legal proceedings and administrative hearings. Develop and review corporate governance and compliance procedures. Participates in litigation, investigations and trials. Interacts with internal and external legal counsel. Interact with senior management on a variety of legal issues. Provide legal advice on complex issues which require significant legal and business experience.

Qualification and Experience

Requirements: Degree in law and admission to the state Bar and (5+ for Senior) or (8+ years for Principal) of specialized legal and related work experience in the following areas: Intellectual property, licensing and corporate matters. Drafting, negotiating and counseling senior leadership on hardware, software, technology development, licensing, application service provider (ASP), and business process outsourcing agreements. Technology focused contracting. Complex transactional matters. Trademark, copyright and information security matters. General vendor and service provider agreements.
