ProfileCorporate Counsel Duties: Will include broad-based transactional work and general legal work, including counseling internal clients on structuring of deals and negotiations; drafting, reviewing and revising agreements of all types, including master service agreements, non-disclosure agreements, independent contractor agreements, licensing agreements, consulting agreements, marketing agreements and other general agreements; assisting with reviewing and updating various policies; assisting with employment matters; assisting the Deputy General Counsel and the General Counsel with various Board and governance items; and providing strategic and practical advice to internal clients at all levels, including top level executives. Work in close collaboration with departments and senior executives from digital, technology, product, marketing, communications, finance, and other departments to advise on business and operations issues and perform legal tasks as requested. Review, structure, draft, and negotiate a variety of complex contracts including information technology agreements, digital media licensing agreements, software services and technology development contracts, technical testing, purchasing contracts, consulting services, and other general agreements. Serve as lead counsel on strategic deals, analyzing complex documents, and resolving issues as they arise. Review, analyze, and advise on all aspects of compliance with contractual terms, marketing guidelines, policies, and procedures. Conduct legal research, monitor, and advise on legal developments as necessary. Oversee the contracting process and update and renew contracts as required. Maintain and update a database of standard contract forms and templates. Review and update various policies. Assist with employment matters. Assist the Deputy General Counsel and the General Counsel with various Board and governance items. Perform other related duties as required.
Qualification and Experience
Qualifications: Strong academic credentials including a JD Degree and membership in one state Bar is required. 2+ years’ experience at a top national law firm is required, with additional in-house experience preferred. 4-7 years of legal experience as a transactional attorney, including experience leading transactions as principal legal counsel. Experience drafting and negotiating a variety of complex contracts, including agreements with leading digital companies. Experience in licensing a plus. Ability to work independently while being able to contribute successfully to cross-functional teams. Great judgment, ability to balance legal risks with business needs, and strong emotional intelligence. Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines. Must have a proven track record of direct client contact and the ability to prioritize and manage effectively multiple assignments and deadlines. Perform with a high degree of confidentiality, ethics, honesty, and integrity. Strong written and oral communication skills.
