Senior Corporate Commercial Counsel The candidate will manage legal business matters pertaining to the organization. Will provide a variety of general corporate and commercial legal services to a number of in-house clients. Act as advisor on legal issues involving the organization’s government and regulatory compliance. Oversee the contracting process within the designated business segments and regions. Negotiate and structure contracts and licensing agreements, supplier agreements, NDAs and other commercial agreements with support from other Company groups. Assist with legal integration of acquisitions, dispositions, joint ventures and other possible investments. Advise corporate officers and managers of company’s legal responsibilities. Assist with oversight of regulatory compliance within designated regions. Provide alternative solutions to minimize liability while achieving business goals such as monetizing through licensing deals. Review legal data and advises organization on appropriate legal action to be taken. Coordinate litigation and other legal matters handled by outside counsel. Demonstrate experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license agreements, employment law, immigration law, data privacy, and contract management. Experience in trade secrets, advertising law, registration and other resolutions specific to the manufacturing, computer and technology industry. Requires a law degree is needed. BA or BS. JD degree from an accredited law school. Strong academic performance. Licensed to practice law in at least one state Bar is needed. Should have 8 - 10 years of relevant in-house experience with a technology-oriented, manufacturing public company. Excellent interpersonal, analytical and communication skills; a succinct verbal and written communication style, and a good listener is needed.
