ProfileCorporate Counsel The candidate will draft and/or review Forms 10-K, 10-Q, 8-K, proxy statement and other SEC filings; Draft and/or review Board and Committee meeting minutes and support preparation of materials for Board meetings; Draft and negotiate purchase, service, distributor, sales agent and other sales related agreements; Draft and negotiate other agreements including NDAs, consulting agreements and supplier/vendor agreements as needed; Maintain and update corporate policies and procedures; Ensure contracts comply with all relevant policies and procedures; Liaise with outside counsel to support other matters such as employment matters, litigation and other specialty topics; and manage development and updates to templates and to playbook resources to document best practices. BA/BS and JD required. California State Bar preferred. Must have 3-6 years of experience in-house, law firm or mix. Experience with SEC filings is essential. Experience with drafting and negotiating contracts is needed.
