Corporate Counsel The candidate will advise management and other business unit employees on legal issues, policies, and corporate governance. Will assist management and other business unit employees in identifying and mitigating legal risks related to management decisions and operations. Draft, review and support the businesses in negotiating a variety of commercial agreements, including SaaS agreements, partner/channel agreements, software license agreements, service agreements, consulting agreements and other customer/vendor/marketing agreements. Create and update contract templates. Create and manage internal contract approval policies and procedures. Work closely with the PAI’s parent company and in-house and outside attorneys to drive collaboration across Japan and U.S.-based legal teams. Design and conduct periodic employee training seminars in conjunction with HR. Assist internal functions in the drafting and maintenance of corporate policies. Handle a variety of legal requests and able to prioritize the requests. Graduate of an accredited U.S. law school and currently licensed to practice in California is needed. Should have 5+ years of relevant in-house or private practice legal experience in the high tech industry with high tech issues and commercial contracts such as described above. Experience in employment law and intellectual property law are desirable. Familiarity with cross-border business issues is needed.
