ProfileSenior Counsel The candidate will provide counseling, training and support to management on corporate commercial transaction matters and various legal issues that directly affect business operations. Providing legal support to company and its affiliate business clients with respect to RFPS issued by private, state and federal government customer contracts, including the preparation of RFP responses and negotiating awarded contracts. Drafting and negotiating direct customer contracts, as well as reseller/dealer/distributor agreements with respect to company hardware and software products and services. Counseling and training company and its affiliate business clients with respect to contract performance matters and relevant policies, procedures, laws and regulations. Working with in-house legal counsel for company’s entities located in other countries to facilitate the negotiation of global contracts.
Qualification and Experience
The candidate should have Juris Doctorate degree from an ABA-approved law school. Member in good standing of the New York State Bar (or current registration as NY In-House Counsel). Must have 10-15 years of progressive law firm or in-house legal experience with exposure to large corporate entities. Proficient knowledge in the areas of corporate commercial transactions, contracts (including direct customer contracts and dealer/distributor agreements), software licensing, and equipment leasing/financing agreements. Subject matter expertise in data privacy, cloud computing, and information security a plus. Strong interpersonal skills, team oriented and able to work effectively with personnel at many different levels throughout the Company.
