Director - Corporate Counsel Duties: Responsible for: (1) counseling the business on a broad range of commercial transactions and regulatory matters, with a heavy emphasis on structuring, drafting and negotiating contracts; (2) working directly with the business, generally serving as lead counsel on strategic contracts; (3) providing day-to-day advice; (4) resolving issues that arise in existing commercial relationships; and (5) handling pre-litigation legal disputes and inquiries. Provides ongoing legal counseling in a wide range of legal transactional areas, including service agreements, software licensing, marketing, e-commerce, strategic alliances, professional and hosted services, market research, product development, and technology and marketing products contracts. Leads efforts in the creation, implementation and refinement of forms, policies and procedures and prepare and deliver trainings to business groups from time to time. Responsible for contracts administration and overseeing various policies, such as the contract policy and records retention and destruction policy. Works closely with every business unit of the Company, this position requires flawless execution of contracting processes and development of innovative, practical business solutions. In partnership with the GC, develops and revises policies, programs, processes, and guidelines to meet the needs of the organization, comply with legal requirements. Identifies, assesses and drives compliance and risk-reduction initiatives associated with emerging legal issues throughout the U.S. and locations where the Company operates. Facilitates the companyâ€™s compliance with data security and privacy regulatory requirements, including providing strategic counsel on customer and employee data practices and policies, vendor and technology agreements and the companyâ€™s e-commerce, mobile and omni-channel strategies, as well as serving as a key leader in compliance and incident responses. Supervises contracts administrator. Manages outside legal counsel and ensures cost-effective, quality work product. Manages complex, cross-functional and cross-brand initiatives, such as data security and privacy. Creates and presents written and live contracts and compliance training. Develops and manages projects assigned by the General Counsel.
Qualification and Experience
Qualifications: JD Degree required. Experience with (a) marketing, (b) intellectual property, (c) managing outside counsel handling commercial litigation, and (d) domestic and international licensing, wholesale and franchising in preferred. Currently licensed to practice law and in good standing with bar of at least one U.S. State. Successful candidate must be admitted to Florida Bar as Authorized House Counsel within one year of being hired. 8+ years of substantive experience as a transactional legal counsel, preferably with a corporate legal department or a nationally recognized law firm. A mix of corporate law firm and in-house experience is a plus. Ability to effectively coach and leverage internal resources, outside counsel, and subordinates. Exceptional project management skills. Excellent communication skills, both written and verbal. Proven presentation and training skills. Ability to resolve complex, highly sensitive work related issues. Ability to develop positive partnerships and influence at all levels of an organization. Strong computer skills. (Microsoft Word, Excel, Power Point).
