Corporate Counsel Duties: Reporting to Legal, VP and working closely with VP, US Business Development, corporate counsel will provide legal advice and counsel to management team related to the Company’s business (or the Company’s affiliates that are managed by the Company), including transactional, operational and corporate governance matters, and will work with field personnel to identify and mitigate legal issues. Contract review for project bidding, active participant in Bid Review Committee meetings. Draft and negotiate construction related contracts, including: Joint venture agreements, Design Services agreements, Concession Agreements (P3 transactions), Design-Build construction contracts, Bid-Build construction contracts, Subcontract agreements with civil subcontractors, Interface agreements, Lenders’ direct agreements, Parent company guarantees, Non-disclosure agreements. Review large project contract documents and identify and analyze legal risks related to these projects and report on legal risk to management. Working with joint venture partners and external counsel to close out deals, completing closing paperwork, obtaining relevant signatures, preparing closing books. Preparing user manuals summarizing key components of project contracts for use by project team. Request for Proposal (RFP), review submission requirements and forms. Drafting and updating company contract templates. Assist in responding on behalf of the company to attorney letters and agency matters including charges and government-initiated inquiries and internal and external audits. Provide effective and efficient legal advice to key internal and external legal, regulatory, finance, tax, treasury, insurance and other functional business unit leaders. Develop, strengthen and sustain productive and collaborative working relationship with personnel at all levels to encourage and continue the proactive use of in-house legal counsel. Establish and ensure compliance with contract management procedures. Provide ongoing support to project site teams for the legal review of subcontracts, purchase order agreements, service agreements. Provide training to project site teams re contractual issues. Interpret and ensure adherence to federal and state legislation relevant to the business. Managing external counsel and reporting on legal budget. Management of members of legal team who report to corporate counsel including transactional counsel and legal assistant.
Qualification and Experience
Qualifications: JD Degree required. Admitted to practice in the one or more of the following states: CO, CA, NC, NY, Washington 7+ years of relevant post-bar professional experience, required. In-house corporate experience preferred. Prior work experience within the heavy civil construction industry preferred. Experience in related industries such as mining and oil and gas will also be considered. Experience on large scale design/build and PPP (P3) transactions is strongly preferred. Prior experience successfully operating in a fast paced, fluid, “build-it” environment Desire and capacity to lead thinking and execution at a strategic level. Excellent interpersonal skills in order to develop team, evolve business processes and support needs of business. Able to work with all levels of the organization. Team player and self-starter.
