ProfileDirector - Legal Services and General Counsel The candidate will be responsible for the overall management of legal services, law firm relations, contract review, intellectual property (IP) protection, litigation management and legal counsel for corporate transactions. Assists in management of the companies’ insurance and risk management programs. Provide expert and strategic legal advice to management. Develop and maintain internal form agreements (NDA’s, sales agreements, Non-Competes, Inventions Agreements etc.). Review and negotiate corporate contracts. Implement process for legal review. Provide counsel on employment and benefits. Provide legal due diligence for mergers and acquisitions. Develop relevant corporate policies and procedure. Register, enforce and monitor IP assets including trademarks and patents. Evaluate, defend and prosecute IP actions. Draft and negotiate settlement and licensing agreements. Draft and maintain internal and external IP policies. Provide guidance regarding claims brought against companies. Manage litigation in cooperation with outside counsel. Participate in depositions, mediations, arbitrations, hearings, etc. Draft motions, answers to motions, manage discovery requests. Manage pending litigation for companies. Select and manage outside counsel, approve budgets and invoices, review correspondence and responses. Manage claim and loss control activities. Assist in purchase of insurance programs. Assist in management of third party relationships including brokers, insurers and TPA’s. Identify exposures and recommend solutions. Update and monitor compliance with insurance procedures. Anticipate issues and estimate risks strategically. Identify proactive solutions that will eliminate or mitigate risks. Deal with complex, significant matters that cut across legal and related areas. Perform in accordance with the mission statements and beliefs of ADF, IDF, IsoNova and FITCO. Strive for personal self-improvement, understanding and awareness of the companies’ processes and the need for continuous improvement of the companies.
Qualification and Experience
The candidate must have 7-10 years of successful legal experience in a business environment. Should have JD degree and admitted to practice law in Missouri.
