Corporate Counsel Duties: Negotiating, drafting and reviewing vendor and customer contracts in collaboration with our business development and senior leadership teams. Providing support to business development and field operations to maintain productive relationships with suppliers and manufacturers. Overseeing and enhancing contracting policies to optimize the contract lifecycle. Monitoring compliance with Federal, state and local rules, laws and regulations. Maintaining and/or implementing various company policies (for e.g., privacy, IP, human resources). Anticipating and guarding against potential business risks. Recommending company policy and position on legal matters. Conducting and coordinating legal research. Providing counsel and/or representation in actual or anticipated proceedings. Preparing pleadings and motions as necessary.

Qualification and Experience

Qualifications: Graduation from a US accredited law school; membership in a state bar as an attorney qualified to practice law. 3+ years of experience in fast-paced law firm and/or in-house environments. Transnational expertise including document drafting and a proven ability to close a deal. Significant business experience negotiating NDAs and vendor/supplier contracts with US and foreign companies. Experience drafting and negotiating software, IP and funding agreements. Expertise in healthcare specific laws and regulations. Experience optimizing online privacy and terms of use policies.
