Associate Duties: Assist US clients on all aspects of their business dealings in China, including conducting due diligence on Chinese target companies, assistance with Chinese labor and employment issues, entity formation, acquisitions and dispositions of Chinese companies, Chinese tax and regulatory compliance, among other matters. Prepare oral and written English to Chinese and Chinese to English translation for clients. Represent Chinese companies in their M&A and other investments in the US. Review, analyze, and advise clients on legal documents, including contracts, SEC filings, corporate policies, and internal records, to investigate facts and law of cases with a specific focus on Chinese law, such as anti-monopoly, telecommunications, national security, veil-piercing, labor and employment laws. Research, analyze, and advise clients on conflicts of laws, and determine applicable law. Research and analyze Chinese law sources to prepare briefs and related documents in order to advise clients. Draft and review Chinese and English documents to identify M&A risk issues and provide comments and advice based on Chinese and U.S. law. Prepare case correspondence, affidavits and legal documents. Translate legal documents from English to Chinese and from Chinese to English.
Qualification and Experience
Requirements: Law Degree (JD Degree ) and 1 year of experience in U.S. and Chinese law. Must have license to practice law in Minnesota. Must be fluent in Mandarin and Cantonese. Must have 1 year of experience in: Researching Chinese corporate and labor and employment laws; Performing due diligence on Chinese companies in M&A transactions for U.S. companies; Translating corporate legal documents from Chinese to English and English to Chinese.
