Vice President & General Counsel Duties: Provide strategic leadership regarding legal matters affecting the organization to the executive management team and to the board of trustees. Direct the legal matters of all Buckner corporations, subsidiaries, and affiliates. Provide legal opinions and counsel to the President and Chief Executive Officer and other designated staff. Conduct and commission research and analysis of specific legal questions and prepare memoranda, opinions, position papers, contracts and other documents related to the fulfillment of mission and business plan in the United States and in designated foreign countries. Serve as a member of the Executive Leadership Team for the organization. Participate in the development of the corporation’s plans and programs as a strategic partner and Executive Leadership Team member. Actively participate in the development and implementation of Company policies and procedures; conduct regular audits in alignment with business goals and objectives. Ensure execution of plans, policies, and budgets approved by the Board of Trustees/Directors for all Buckner corporations. Work in conjunction with the President and CEO and other designated staff to develop and design appropriate legal frameworks governing domestic and international operations. Provide advice and counsel for Board of Trustees/Directors; educate the Board and Board Committees on legal matters that affect Corporations; prepare agendas for Board Meetings; prepare Board Minutes for all Corporations and Board Committees; prepare and present Board and Board Committees’ Resolutions; report to Board on legal matters; advise and assist Board to resolve conflict of interest issues for all Corporations and Board Committees. Advise and educate the management team and other designated staff on legal issues related to the implementation of Buckner International’s business and strategic plans. Ensure compliance with applicable laws and regulations and ensure that Buckner entities are structured appropriately and projects and staff are protected against unacceptable risk. Ensure compliance with applicable laws and regulations governing the operation of a 501©(3) non-profit organization, including, immigration law, international operations, grant raising and fundraising activities, U.S. and foreign tax issues, and issues related to transfers of donated funds and property. Keep abreast of international legislation, legal and business trends, and other issues that affect the operations. Secure outside legal counsel when necessary and coordinate the legal matters with outside counsel. Monitor legal services provided by outside counsel; prepare pleadings and handle depositions, interrogatories, pretrial motions, pretrial and settlement conferences; study and interpret laws, court decisions and other legal authorities as required. Prepare and/or manage all contracts for all Buckner Corporations to include all real estate transactions, contracts and closings for all Buckner Corporations. Prepare and/or review leases of personal and real property; prepare and/or review all business contracts for all Buckner Corporations. Prepare and/or review all collaborative contractual agreements with Church and other Non-Profit agencies for all Buckner Corporations. Prepare and/or manage all local, state and government agency contracts. Prepare and/or manage all business contracts and independent contractor agreements. Coordinate with Human Resources on all employment law matters. Review and approve all employee handbooks, policies and procedures. Oversee management of all employment law regulatory matters for all Corporations. Oversee management of all investigations of personnel matters. Manage and approve all licensing for all Corporations. Manage all trademarks; IP legal issues and filings for trademarks for all Corporations. Resolve any issues or conflicts related to licensing or trademarks. Manage all Estate, Trust, and Probate matters for all Corporations in coordination with the Chief Financial Officer. Coordinate with Chief Development Officer for all charitable solicitation matters to include solicitation qualifications in all States. Coordinate with Baptist Foundation of Texas on issues involving assets in coordination with the Chief Financial Officer. Manage filings of corporate documents and its qualifications with various States. Responsible for risk management for all Corporations in coordination with Senior Vice President and Chief Financial Officer. Source and then manage all commercial insurance vendors and placement of insurance contracts for all Corporations. Review all risk management contracts for all Corporations. Manage vendor relationships with brokers, adjusters, and carriers. Oversee management of all claims. Manage and coordinate all governance and legal issues for relationships with International non-governmental organizations (NGOs) and charities. Provide advice and counsel to management for business relationship management with NGOs. Develop and facilitate staff training sessions and workshops as required. Develop, implement and maintain systems and processes for the documentation and tracking of international legal matters, including, filings and registrations, legal threats, trademark permission, requests, business agreements, and similar matters. Prepare for and represent Buckner International, its subsidiaries and affiliates, at administrative law hearings and judicial proceedings as required. Timely and accurately prepare written reports and deliver to designated staff as appropriate. Establish credibility throughout the organization as an effective developer of solutions to business challenges. Cultivate and monitor relationships with outside service providers, consultants, agencies and organizations, to develop relationships to enhance the quality and efficiency of the legal functions within the organization. Develop, execute, and monitor progress of business objectives. Provide leadership towards the achievement of maximizing and balancing cost mitigation and mission impact in organizational lines of business. Establish credibility throughout the organization and with the Board as an effective developer of solutions to business challenges. Supervise, monitor, evaluate and provide direction to direct reports. Provide professional growth and development; develop and communicate annual goals and objectives; monitor and provide constructive feedback; conduct annual performance evaluations. Source, hire, supervise, monitor, evaluate and provide direction to direct reports, as needed. Cultivate and monitor relationships with outside service providers, consultants, agencies and organizations. Oversee and provide training and professional development as required. Manage program resources to ensure they are used efficiently and appropriately. Maintain compliance with all Buckner policies, procedures and requirements. Maintain compliance with all state and federal laws and regulatory requirements. Conduct staff meetings regularly; attend and participate in staff meetings and training as required. Qualifications: Knowledge normally associated with attainment of a JD Degree from an accredited law school plus extensive work experience in a related field. JD Degree from an accredited law school required. Prior real estate law experience preferred. Must be licensed and in good standing with the State Bar of Texas. Prior Estate, Trust and Probate law experience preferred. Prior related experience with 501©(3) non-profit organizations preferred. Requires 15+ years' prior related experience as a licensed attorney. Prior experience in the actual operations of a domestic and international non-profit organization engaged in the delivery of social services to vulnerable children and families preferred. Requires extensive litigation experience as first or second chair counsel in employment, corporate, immigration, and other civil trial legal matters. Requires proficient working knowledge of the laws and regulations governing the agency. Requires proficient ability to speak, read and write English. Ability to speak, read and write Spanish preferred.
