ProfileSenior Corporate Counsel - IT The candidate will provide legal advice and counsel to business clients, primarily including the IT Department, on wide array of business, compliance, governance, privacy, security, and contractual issues, while coordinating with other legal team members and stakeholders. Will draft, review, negotiate, and work closely with business partners on various agreements in support of IT initiatives, including purchase agreements, license agreements, service agreements, cloud computing agreements, privacy and data security agreements, and other IT agreements Provide legal and compliance guidance in the areas of data security and privacy, including compliance with U.S. federal and state privacy laws and regulations (including PCI-DSS, FTC Act, SOX, HIPAA, TCPA and TSR, CAN-SPAM, COPPA, industry standards, self-regulatory requirements, and best practices applicable to the retail industry. Assist in the review and coordination of potential privacy or data security incidents, including investigations, notifications, and other resolution efforts. Respond to consumer, regulatory and employee privacy and data security inquiries. Represent the company in negotiations, hearings, and other forums. Develop strong partnership with executive management, senior management from other corporate departments, distribution centers, stores and their vendors. Represent all Academy departments and locations on enterprise-level issues both internally and externally. Partner with business clients to identify and resolve problems in a timely manner, gather and analyze information skillfully and maintain confidentiality. Develop standardized processes and procedures for the organization in identified practice area(s). Develop and manage policies and procedures regarding IT governance, IT contracts, data privacy and security, and commercial relationships, including development of appropriate form documents and clauses. Review, recommend and manage outside counsel to represent Academy in legal matters. Reduce outside counsel fees by performing work in-house. Manage legal staff, including legal and administrative assistants. Assist with annual budget submissions for identified practice area(s). Operate within constraints of the financial budget for assigned practice area(s). Identify and develop projects spanning other corporate departments, distribution centers, stores and their vendors. Identify and implement growth strategies and process improvements across multiple areas. Develop a thorough understanding of Academy policies, procedures and safety rules.
Qualification and Experience
The candidate should have Juris Doctorate degree and admission to State Bar in one State Should have 8+ years of focused information technology (IT) and data privacy and security legal experience with a major law firm or an in-house legal department. Experience with a retail company $1 billion in revenue in a corporate environment is preferred. Significant experience drafting and negotiating complex IT contracts is essential. Knowledge of data privacy and security law and regulatory requirements, including, but not limited to, PCI-DSS, FTC Act, SOX, HIPAA, TCPA & TSR, CAN-SPAM, COPPA, various state privacy and breach notification laws, privacy codes of conduct, and industry regulations is essential. Knowledge of independent data security risk assessments, including, but not limited to, SOC reports, PCI-DSS service provider assessments, and ISO 27001 certifications is essential.
