ProfileAssociate General Counsel The candidate will act as advisor to or coordinates external counsel on legal issues involving the organization's securities law compliance, global subsidiary management, government and regulatory compliance including privacy, FCPA, anti-bribery, anti-trust, ethics and sanctions. Prepare documents to support same. Review legal data and advises organization on appropriate legal action to be taken. Handle complex legal projects. Manage compliance with SEC rules and regulations and NASDAQ listing standards applicable to public companies, including: Draft and review public disclosures to be filed with the SEC on a periodic basis such as Form 8-K, Form 10-K, Form 10-Q, Annual Proxy; Manage and oversee the training, compliance and filing of Forms 3, 4 and 5 on behalf of Section 16 officers and the Board; and Monitor and manage the company’s compliance with insider trading laws. Assist the Corporate Secretary with regard to corporate governance and support for the Board of Directors and its committees including: preparation for meetings, assistance with the preparation of presentation materials, preparing resolutions and minutes of Board and committee meetings, advise the Board and senior management, and manage preparation and coordination of annual meeting of stockholders. Responsible for global subsidiary management including governance and intercompany transactions. Participate on Privacy Steering Committee with responsibility to provide legal support and leadership on privacy issues including Privacy Shield Certification and GDPR. Assist on M&A and joint venture arrangements or other strategic partnerships and the integration of acquisitions. Responsible for providing legal support for debt financing and capital markets transactions. Develop and maintain compliance practices and policies (FCPA, sanctions, anti-bribery, anti-trust and anti-corruption) including responsibility for leading the company’s ethics program (code of conduct, global ethics training and internal investigations). Responsible for providing legal support to HR including internal investigations and executive compensation and employment matters. Assist with the management and communication of environmental, regulatory, data retention policies and procedures and litigation matters. Bachelor's degree required. Graduate degree preferred. State Bar Membership required.
