General Counsel Candidate will represent the Company in a broad range of areas including commercial and employment matters, dispute resolution and litigation management, international law, contract law, risk evaluation and mitigation, and corporate governance. Will serve as the Company’s Secretary and in that capacity, will interact frequently with the Board of Directors (Board). Lead and manage the legal function and provide credible, incisive counsel to the CEO, the Board and the senior leadership team in a wide range of legal and fiduciary matters. Advise the Chief Human Resources Officer in employment matters. Negotiate, draft and execute commercial contracts and licenses. Manage and supervise any litigation involving the Company. Collaborate with other members of the senior leadership team, ensuring that legal, regulatory and reputational risks to the Company are identified, assessed and effectively mitigated through, among other things, the development and implementation of risk management initiatives and practices. When necessary, select and supervise outside counsel, and assume responsibility for their efficacy and efficiency. Stay current with and close to any changes in the status of independent contractors from a legal, regulatory or reporting perspective. Remain attuned to legislative and regulatory developments that may affect the Company and timely advise the senior leadership team of related recommendations. Collaborate with other members of the senior leadership team, manage the Company’s intellectual property portfolio and strategy, including protection and registration of trademarks and patents. Make appropriate recommendations regarding the Company’s position in key legal and regulatory areas, and develop and implement related policies and procedures. Lead the assessment of transactional matters, including due diligence. Oversee activities of the Board and related governance matters; develop and timely circulate meeting agendas, materials and draft minutes. Manage day-to-day legal issues, including contract negotiation, executing business agreements, contracts, licenses and other legal agreements and corporate matters, while remaining adaptive to changing priorities within a fast paced environment. Support international business transactions. Will report to the Chief Executive Officer (CEO).
Qualification and Experience
Candidate should have J.D. degree from an accredited law school and 10-15 years of relevant experience, including 5-7 years of experience as senior in-house counsel with responsibility for commercial, employment, intellectual property, litigation and regulatory matters. Should be member in good standing of the California Bar. Experience in presenting to internal and external constituents, including Boards of Directors is needed. International transactional experience is required. Candidate should have substantial experience in providing day-to-day counsel to business leaders, establishing legal management best practices, intellectual property acquisition and maintenance, and managing outside counsel.
