Contracts Associate The candidate will provide proactive support/service on commercial dealings from creation of templates, negotiation of contracts, drafting of contracts and helping close good business deals. Assist in the development of Global policies and procedures relating to legal/contractual sales and purchasing matters. Assist in the development risk mitigation procedures for the protection of the company’s assets. Improve business literacy of the company employees with regard to legal, contractual and compliance matters through training programs, documentation of best practices, provision of advice and on the job training. Help ensure the company complies with the Rules (Komatsu/MMS policies, local laws etc) and test for compliance. Assist with purchasing from key vendors including selection, price negotiation, and contracting. Assist F&A and other departments with special projects as they come up. Provide contract and legal advice and support for any regional sales and service contracts. Participate in negotiation and drafting of sales and service contracts as a Tier Two/Three Support Person. Provide contract/legal advice and support for any purchasing contracts. Participate in negotiation and drafting of major purchasing contracts. Provide assistance in developing and improving business processes.(includes procurement, vendor accreditation, audit etc). Proactively review and analyze potential business risks, provide advice and guidance to establish appropriate risk mitigation strategies. Mitigation strategies may include contractually dealing with risks, insurance coverages, conducting risk assessments and initiating risk prevention actions. Maintain legal/contract policies and guidelines related to sales, services, leases, rentals, purchasing, etc. designed to improve customer service, business efficiency and risk management. Ensure compliance with “The Rules,” including legislation, company legal and contractual policies and guidelines including assist to help make The Rules available in a suitable format, provide training, risks assessments, proactive prevention action and controls to confirm compliance). Provide strategies, guidelines/policies and advice for protecting intellectual property and confidential information. Draft and negotiate licence agreements, IP clauses, contracts, legal letters, etc. Provide guidance/advice and develop strategies /procedures for offensive and defensive patent matters. Develop tools, templates, strategies for the legal procurement and/or integration of third party products and/or third party software licenses in alignment with sales/support /contracts. Work with the company’s Tucson and other regions to Maintain & Enhance generic contract templates, and other legal templates for sales, services, leases, rentals, purchasing, sub-contracting etc. Maintain/Oversee the maintenance of the Global Contracts Data base and provide alerts of expiring contracts. Work as part of team to deal with Litigation issues/matters. Work with the Corporate and Komatsu legal departments as required and as appropriate. Bachelors Degree from an accredited educational institution (Business or related field preferable) required. J.D. degree- in absence of law degree significant additional profesional experience will be needed. Knowledge of legal principles and practices required. Skill in interpreting applicable country and state laws required. Ability to formulate recommendations, proposals and counter proposals required. Contract drafting skills and negotiation skills and techniques required.
