In-house Counsel Duties: Will work directly with the General Counsel. Will work with internal business associates as well as outside parties to support all aspects of the company’s business, including: The negotiation, drafting, interpretation and enforcement of commercial, customer, marketing, supplier and non-disclosure agreements. Assisting with the company’s disputes, litigation and claims (e.g., responding to subpoenas, working with outside counsel to assist in responding to discovery). Will review of marketing and promotional materials and intellectual property matters. Labor and employment matters. Corporate governance. Real estate matters. The development of policies and monitoring compliance. The development of templates and processes. Providing legal training to business associates.
Qualification and Experience
Qualifications : A Juris Doctor degree. The candidate must be admitted to a State Bar in the United States, in good standing. Should have 1-2 years of attorney transactional experience. Basic knowledge of contract law. Transactional drafting and negotiating experience. Ability to synthesize business terms and incorporate legal protections into a binding agreement. Knowledge of the proper content of agreements and ability to understand and evaluate terms and contract language proposed by counterparties to determine which items are and are not negotiable. Knowledge of negotiation strategy and tactics, including the ability to apply appropriate strategies during negotiations. Ability to understand the company's contractual relationships with customers, suppliers and other parties, which includes knowledge of the implications that such relationships have on the company's strategic decision-making and freedom to act. Ability to determine and understand the company’s objectives and risk tolerance and to incorporate the information in making legal decisions. Ability to devise legal solutions that reduce financial liability, costs and negative publicity to acceptable levels. Ability to conduct and analyze legal research to determine applicable legal principles. Knowledge of and ability to analyze effect of company policies on business activities. Basic knowledge of litigation practice and procedures (e.g., lawsuits, discovery, document production). Ability to maintain professional demeanor and focus on objectives in confrontational negotiations. Clearly articulate ideas, opinions, and information, in spoken and written form. Adapt behavior in dealing with changing situations and people. Ability to adjust priorities in response to unanticipated events. Excellent time management and organizational skills. Excellent interpersonal skills and the ability to work effectively with employees at all levels.
