ProfileLegal Counsel The candidate will provide legal support to company's OEM team, indirect and direct sales teams and draft and negotiate a broad range of partner licensing agreements for technical solutions, on-demand services, managed services, on-premise software, and professional services. Will review, draft, negotiate, approve and close a broad variety of agreements within the Indirect Sales Legal Support team, including partner licensing and professional services agreements, and other various related actions for the support of indirect transactions. Counsel sales teams and sales management teams on a variety of licensing, intellectual property, commercial, anti-trust and privacy law topics. Refine standard templates for reseller, fulfillment and agency transactions and learn company's varying products and business models, including legal and business related requirements. Collaborate with sales, finance and business units, as necessary, to support revenue and process transactions in accordance with corporate policies. Should have a J.D. degree and Bar membership. Must have 5-8 years of experience in reviewing and negotiating commercial contracts either at a law firm or in-house, preferably with experience in the area of OEM or enterprise sales, software licensing and cloud-based offerings. Prior experience supporting indirect sales a plus.
