Counsel, Associate Legal Duties: Will provide transactional support to the company’s television and digital business units. Will have primary responsibility for reviewing, drafting and negotiating a wide range of commercial agreements with, including leases, programming agreements, distribution agreements, video licensing agreement, infrastructure agreements, digital publishing, agency and mobile monetization agreements, IP licenses, non-disclosure agreements, and other company agreements. Will be responsible for researching, understanding, applying and providing guidance on federal and state regulations that are relevant to the company’s operations. Reviewing, drafting and negotiation of general and complex general commercial contracts for the company’s television and digital media operating units. Providing leadership and guidance to all levels of company management on transactional matters and maintaining good working relationships with appropriate company personnel to facilitate successful contract negotiations. Performing other duties in support of the company's legal department as assigned.

Qualification and Experience

Qualification Requirements: A J.D. degree with 4-6 years’ experience in contract review, including drafting and negotiation of complex commercial and technical agreements at a top law firm and/or in-house legal department. Licensed to practice law in the State of Texas. Expertise in information and/or advertising technology, privacy, data security, social media, intellectual property, TCPA and state solicitation laws and/or other regulatory compliance. Excellent communication and writing skills, both oral and written; good critical analysis skills. Ability to handle multiple work assignments contemporaneously. Ability to work independently, and with all levels of management. Ability to research without access to Lexis/Westlaw or secretarial/word processing support. Proficiency with computers, telephones, copiers, scanners, fax machines and other office equipment. Fluency in English.
