ProfileSenior Counsel, Contracts The candidate will be responsible for drafting, reviewing, negotiating and finalizing contracts with vendors and clients. Will interact with internal business units, external customers, vendors and strategic partners to provide timely updates and support on various contractual issues. Assist on other legal matters within the legal department from time to time. Draft, evaluate, negotiate and finalize new contracts, replacement contracts, contract amendments, contract renewals and contract terminations within established standards. Advise senior executives on complex legal and business issues, including the resolution of contractual disputes. Work closely with the various business departments to ensure compliance with contractual requirements. Anticipate and identify legal issues and proactively develop effective and practical legal strategies and solutions to address risk. Assist on other legal matters within the legal department from time to time. Perform other functions as assigned.
Qualification and Experience
The candidate should have a JD degree from an accredited law school and undergraduate degree from a nationally recognized institution with a record of academic achievement. Top 20% of class and law review is preferred. License to practice law in the State of Texas required. Should have 10+ years of experience practicing law. Prior experience working with a contract management system required Experience with both a large law firm and in-house setting preferred. Strong working knowledge of commercial contracts required. Strong working knowledge of technology contracts preferred. Proficiency in MS Word, Excel and PowerPoint essential.
