ProfileAssociate Contracts Attorney Duties: Responsible for leading and managing the review/drafting/editing of all vendor contracts for all Association business areas while providing oversight and suggesting solutions to protect HMSA and support its corporate goals. Supporting the following duties: Drafting and continually revising/updating HMSA’s various vendor contract templates including but not limited to the Master Services Agreement, Independent Contractor Agreement, Non-Disclosure Agreement, Data Use Agreement, Sponsorship Agreement, etc. Support and partner with the business to identify the best vendors and/or contract terms Support and partner with business to analyze contracts for risks and consistency with business/operational requirements. Assisting in contract negotiations as needed. Working with other HMSA governance, support and business units to mitigate organizational risks. To the extent necessary and with appropriate supervision, working with outside counsel with specialized knowledge to draft, analyze and review contract terms and conditions. Preparing and reviewing draft contracts, amendments, termination letters and other legal documents. Drafting and preparing legal memoranda highlighting and interpreting contractual rights and obligations in a manner that will ensure parties’ understanding of the terms and conditions of the contract. Identifying opportunities for improvement and collaboration between departments and working together to come to mutually beneficial solutions. Ensuring alignment between vendor contracts and corporate strategy and goals. Engage in continuous improvement activities to improve your own performance. Engage with legal team to ensure we are working together as a high performance team. Participate on projects outside Legal Affairs to broaden perspective of company and help company achieve enterprise goals. Assist with other miscellaneous tasks as assigned.
Qualification and Experience
Qualifications: JD Degree from an accredited law school and 2 years of contract drafting and/or negotiating experience. Proficient with Microsoft Office suite.
