ProfileDivision Counsel The candidate will allow for flexible scheduling and working remotely when appropriate. Will generally be expected to be able to practice with discretion in their areas of expertise, but will also be provided direction and supervision. Expected to bill 1,000+ hours per year. Researching and analyzing general corporate, transactional and regulatory issues (and preparing related summaries and memoranda). Reviewing, summarizing and revising existing client contracts, leases and other documents. Performing transactional due diligence and otherwise assisting the firm’s deal teams. Handling of non-complex entity formations (including preparation of organizational documents, bylaws, simple operating or shareholder agreements, minutes, etc.). Drafting and negotiating routine contracts (including non-disclosure agreements, vendor contracts, leases and other commercial agreements). Participation in secondment opportunities within client organizations. Performance of other corporate and transactional tasks as assigned by firm attorneys.
Qualification and Experience
Qualifications: Outstanding academic credentials required. Ability to work across industries, excellent client service, commitment to teamwork, and capacity to express thoughts clearly, both orally and in writing, is a must.
