Director of Contracts The candidate will manage various functions within the department in support of the companyâ€™s business, and negotiate a variety of business and technology agreements. Duties/Responsibilities: Negotiate information technology contracts, including software license, software subscription, SaaS subscription, reseller, OEM, professional services, statements of work, maintenance, subcontracting, hardware purchase, and nondisclosure agreements; Contracts lead tasked with resolving critical issues and closing open contract terms under quarter-end and year-end deadlines for a publicly traded software vendorâ€™s sales organization; Lead the negotiation team consisting of resources from operations, finance and legal for procurement of IT infrastructure technology; Analyze contract terms against industry best practices and company policy, then advise the business unit of the risks and foster mitigating those risks to achieve business objectives; Work with senior management to draft contract terms and conditions which would achieve company objectives; Responsible for managing version control, integrity, and continuity between numerous customer facing contractual documents; Develop the companyâ€™s consolidated SaaS software subscription and license agreements; Develop the companyâ€™s standardized professional services agreements, subcontractor agreements, and appliance based end user license agreement for new lines of business and new product launches; Develop the "playbook" for negotiated contract language to facilitate sales negotiations and foster consistency between negotiated contracts; Mentor and serve as subject matter resource to colleagues on contract management.
Qualification and Experience
Should possess Paralegal certificate or law degree having 3-5 years of experience negotiating software license and/or SaaS, consulting and non-disclosure agreements. 5-7 years of experience with contract negotiations. Familiarity with contract life cycle from pre-to-post award. Should also have experience working in a corporate legal or contracts department, and be comfortable in a fast-paced environment supporting internal business clients, as well as dealing with vendors and customers.
