ProfileAssistant General Counsel Responsibilities : The candidate will be responsible for the assignments drawn from the entire spectrum of legal matters that would typically confront a not-for-profit association. Providing support for the extensive commercial activities of the Society in support of its tax-exempt mission, including negotiating, drafting and reviewing a wide range of contracts, from vendor and supplier matters pertaining to the firm Annual Meeting and various stand-alone meetings to those involved in funded research activities, data licensing and other uses of the Society’s extensive research databases and educational offerings. Addressing legal issues in a variety of other areas as they arise, including compliance by the Society and its contracting parties with the terms of various types of contracts, review of licensees’ proposed uses of the Society’s trademarks, copyrights and other intellectual property, human resources/ employment matters, tax issues, insurance, firm Political Action Committee matters, state law corporate filings, etc. Providing support and guidance on corporate governance matters, including working with the Board and its committees. Working with outside counsel retained by the Society in specialty legal areas. Providing HIPAA and other privacy/confidentiality-related compliance counsel and support. Performing other duties as assigned.
Qualification and Experience
Requirements : The candidate should have a Juris Doctor degree or equivalent. Active license in good disciplinary standing to practice law in the State of Illinois is required. An active license in good disciplinary standing to practice law issued by a different state is also acceptable, contingent on obtaining within a reasonable period of time a license to practice law in Illinois (which may include a limited license under Illinois Supreme Court Rule 716). At least three(3) years of experience providing legal representation to clients, ideally including representation of associations and/or other not-for-profit organizations. Strong experience in contract drafting is required. Law firm or in-house experience or a combination preferred. Experience dealing directly with clients and taking independent responsibility for matters is very important. Familiarity/experience with transactions in the health care industry is a plus. Excellent interpersonal skills and the ability to communicate and interact effectively with all levels of the organization. Personal credibility and the ability to articulate legal positions and strategies concisely and quickly, in a manner that is useful and easily understood by the surgeon leadership and staff. Team player, willing to pitch in where needed. A positive attitude employing a flexible approach and a great deal of intellectual curiosity, dedication, energy and passion for the Society’s work. Willingness to stretch into less familiar areas of the law, and adapt as the organization and the cardio thoracic surgery specialty that it serves evolve. Excellent organizational, planning, and follow-through skills; attention to detail is essential. Proficiency in multi-tasking and managing several projects simultaneously. Ability to develop and maintain positive working relationships with co-workers, staff, and member volunteer leaders; tact, diplomacy, and good judgment are essential. Excellent legal research, writing and analytical skills. Proficiency with Microsoft Office products, and particularly with change tracking and other collaboration features. Ability to travel (moderate), as necessary. Energy, creativity, initiative, eagerness to learn, and professionalism required.
