Managing Counsel The candidate will provide leadership for the strategic sourcing / vendor contract legal support function, including by participating in and supervising the drafting, review and negotiation of vendor contracts (software license, hosting and professional service). Will provide legal support to firm’s other corporate functions. Participate in M&A, venture capital and other business development transactions. Work directly with Enterprise Strategic Sourcing, Enterprise Technology and other corporate functions to prepare, review and negotiate vendor contracts, including software license, hosting, professional service, and strategic partnership agreements. Provide leadership for the strategic sourcing / vendor contract legal support team. Work with senior legal leadership to assist with M&A, partnership, reseller and similar business development transactions. Work with other members of the legal staff on a variety of legal matters including contract, employment, intellectual property and regulatory matters. Anticipate and guard against legal risks. Research and respond to questions that arise from daily business. Law degree from a law school approved by the American Bar Association or proper state authorities are needed. Licensed to practice, or ability to become licensed to practice, in appropriate jurisdiction is advantageous. In good standing with state Bar. Should have 4+ years of relevant legal experience; relevant law firm experience valued. Commercial contracting experience, especially with respect to software licensing, technology contracts, and professional services agreements is desirable. Experience as a corporate generalist valued is advantageous.
