Associate Director, Legal (Litigation & Contracts) The candidate will be responsible for managing contractual and legal issues arising from the Company’s business activities and transactions by drafting, reviewing and negotiating contracts, as well as providing legal advice to internal client functions. Responsibility includes acting as an internal hub and window to external counsel in litigations. Draft, review and negotiate contacts and related legal documents arising from R&D operations, commercial operations, and other business development and investment activities such as Services/Consulting Agreements, Vendor Agreements, Clinical Trial Agreements, IST Agreements, Distributor Agreement, Sales Agreement, IT/Logistics Service Agreement, Equity Purchase Agreement, Joint Development Agreement, Licensing Agreement, Option Agreement, Confidentiality Agreement etc. Negotiate contractual terms on behalf of internal client functions or in collaboration with client functions. Provide client functions with guidance, support, appropriate advice and solutions regarding any legal and contractual matters associated with the Company's business activities, with guidance and oversight from VP, Legal and Compliance. Develop/update templates/forms as appropriate for most current business activities of the Company. Assess and make recommendations for improving contract procedures to achieve operational effectiveness and efficiency. Act as internal hub, with support from external counsel as appropriate and guidance from VP, Legal and Compliance, for assigned commercial, product liability, corporate, labor and other forms of litigation and pre-dispute resolution. Responsible for collecting and analyzing facts, developing and assessing case strategies, conducting and managing interviews of fact and expert witnesses, handling discovery requests, and reviewing court filings, with support from external counsel as appropriate and guidance from VP, Legal and Compliance. Conduct internal investigations as required. Manage external counsel when retained to minimize legal and business risk and to resolve issues within expected budget/timeframe. Develop and implement legal training on contract and litigation issues for non-legal colleagues in the Company. Manage/supervise and develop Contracts & Compliance Specialist/junior legal staff. Stay abreast of evolving legislation, regulations, and the enforcement landscape with respect to legal subject matter expertise, and provide updates to colleagues in the legal department and, senior management as needed. Perform other duties as needed as assigned by management. BA/BS and Juris Doctor degree required. License to practtice law in certain state in the USA, preferably CA or be eligible for licensure as a registered in-house counsel in CA required. 5+ years of experience of drafting and reviewing contracts in a corporate legal department (in-house or within a law firm) within the pharmaceutical or medical device industry required. Demonstrated litigation experience required. Good knowledge of pharmaceutical industry laws, including the relevant codes, guidelines, rules and regulations required. Proven ability to interpret laws and regulations and analyze case law required. Exceptional written and oral communication skills, including presentation capabilities required.
