Counsel or Senior Counsel Duties: Provide advice and counsel and its subsidiary companies on a wide range of corporate and commercial matters. Draft, review, negotiate, and advise regarding complex commercial agreements and procurement contracts including: joint ventures, distribution agreements, outsourcing agreements, and other strategic transactions, as well as software and intellectual property licensing agreements and information technology agreements. Draft form agreements for standard transactions such as services agreements, sales agreements, non-disclosure agreements, and intracompany agreements. Draft, review, negotiate, and advise regarding government contracts. Conduct due diligence and provide legal counsel related to potential acquisitions, investments, and strategic partnerships. Provide legal support for marketing matters and customer-service issues. Conduct research regarding legal issues affecting business, translating complex laws and regulations into practical advice and solutions. Provide training on legal issues to team members. Draft company policies and procedures. Communicate effectively with staff in all areas of the company, with outside counsel, and with third parties and their counsel. Manage efficient use of outside counsel. Maintain current knowledge of trends and legal issues as they relate to business.

Qualification and Experience

Qualifications: JD Degree from an ABA accredited law school. 5-7 years of increasingly complex commercial transactional experience in a law firm or corporate legal department. Demonstrated competency in drafting, reviewing, and negotiating complex commercial agreements and procurement contracts, including knowledge of key elements, structuring alternatives, due diligence, and other issues relating to such transactions. Experience partnering with business clients and cross-functional teams. Experience working in a corporate legal department is preferred. Nonprofit law experience also preferred. Excellent drafting skills with an emphasis on using plain English in legal documents. Strong analytical and negotiation skills, as well as excellent oral and written communication skills and judgment. Highly self-motivated and able to work independently with minimal supervision. Flexible and able to think creatively to find practical solutions to complex issues. Organized and detail oriented . Demonstrated experience managing multiple matters and projects, meeting deadlines, and working effectively individually and as part of a team in a dynamic, fast-paced, challenging environment. Sophisticated interpersonal skills, including the ability to develop strong internal relationships, influence others, and work as part of cross-functional teams and in partnership with team members at all levels of the organization. Ability to maintain a high level of confidentiality regarding corporate information.
