INTERNATIONAL COMMERCIAL CONTRACTS MANAGER Responsibilities : The candidate will be responsible for evaluating, developing, facilitating, negotiating and maintaining commercial, international, and domestic contracts. Will report to the L3 Security & Detection Systems, Vice President & General Counsel. Draft, review, and negotiate a variety of complex commercial transactions including sales, purchase and other contractual agreements. Provide timely evaluation, solution-based business & contractual guidance and propose mitigation strategies to all levels of management as to L-3 SDS’ contractual and business obligations, rights and remedies regarding customers, and assessing significant adverse risks for avoidance. Actively participate in contract negotiations with foreign governments, multi-national companies, distributors, and business partners. Provide timely evaluation, solution-based business & contractual guidance and propose mitigation strategies to all levels of management as to L-3 SDS’ contractual and business obligations, rights and remedies regarding customers, and assessing significant adverse risks for avoidance. Develop strong interface relationships and provide guidance to Sales, Marketing, Program Management, Product Management, Engineering, Manufacturing, Science, Service, Finance, and Sourcing. Perform a function that supports corporate governance and regulatory matters. Protect the company’s legal interests and to maintain operations within established laws.

Qualification and Experience

Requirements : The candidate should have Masters in Business Administration or equivalent, or Attorney with 5 – 8 years international and commercial contracting experience. Masters Degree or Juris Doctor Degree preferred. Experience with all aspects of international, commercial, and domestic contracting including the business effects of contracting. U.S. Government contracting experience a plus. Knowledge of Intellectual Property rights. FCPA and UK Bribery Act Understanding. Ability to research subject matters that either directly or indirectly affect L-3 SDS and summarizing the research and their effects. This position requires a principled understanding of contract terms, business risk, margins, timely revenue recognition, meeting profitability objectives, and ensuring the successful execution of contract performance. Ability to effectively resolve contract issues both internally and with external customers and business partners. Ability to provide a strategy on the implications of business and regulatory issues. Must possess excellent written and verbal communication skills. Strong interpersonal, analytical, and attentions to detail skills are a necessity. Experience with setting priorities and with working in a fast-paced environment that is deadline driven, detailed oriented, and must have the ability to handle a multitude of tasks and responsibilities simultaneously.
