Assistant General Counsel The candidate will prepare, review, draft and negotiate contracts and other legal documents, primarily professional services (consulting) agreements, subscription data licenses, business process outsourcing transactions, engagement letters, statements of work, and amendments/renewals of the foregoing. Will advise clients on various legal matters, including but not limited to, the implications of contracts and/or actions taken pursuant to contracts, data usage issues, and intellectual property law. Review and advise on legal issues related to online marketing law, including with respect to social media. Assist with drafting and processing corporate documents such as board resolutions and powers of attorney on behalf of the legal entities our group supports. Communicate and coordinate with attorneys in the group, as well as various clients (including business unit managers, project managers and others) regarding legal and contractual issues. Perform other duties in support of the Digital and Business Services Legal group, as assigned. Prepare regular reports on the above activities for clients and colleagues in the Legal department. JD degree from an ABA-accredited law school. Bar passage in at least one US state, preferably New York or New Jersey is needed. Should have 3+ years of experience in preparation, review, drafting and negotiation of contracts, including non-disclosure agreements, professional services agreements, statements of work, purchasing agreements for goods such as food services and office supplies, data licenses, marketing and online advertising contracts, and amendments and change orders to these documents. Understanding of legal issues affecting these contracts, especially privacy and data protection laws, warranties, indemnities, limits of liability, service levels, services descriptions, and intellectual property rights is needed. Basic knowledge of IP and social media-related legal issue is advantageous. Strong computer skills (Microsoft Word/Excel/Outlook; document comparison software) is advantageous.
