East Region Counsel The candidate will supervise the Regional Contracts Manager, Subcontracts Specialist, Regional Claims Manager, and Business Insurance Specialist (currently four positions). Under the direction of the Associate General Counsel, provide legal advice and be the interface between the company’s East Region’s Business/Operations/Project team and the Corporate Legal Department of the company’s Shared Services, as to particular projects and legal matters. This position includes providing legal support, investigation, analyses, followed by recommendations to the Associate General Counsel and VP/General Counsel and the Regional Vice President (“RVP”) and Operations Vice President (“OVP”) on various legal, claims, business insurance and compliance matters that occur throughout the company’s East Region. This position involves extensive contracts management negotiations responsibilities; as well as collaboration with the RVP/OVP and Associate General Counsel in making recommendations for compliance with the Company’s risk policies. This position also requires support of strategic execution and alignment of activities requiring legal advice across the East Region’s lines of business. Provide legal advice to the company’s East Region in collaboration with the Shared Services Legal Team. Balance the needs of the company for profitability with ensuring the contractual terms and conditions protect the company and minimize risk. Participate in Regional Bid Review Meetings and relay to management the impacts of the legal and insurance reviews, including contractual rights, risks and obligations. Draft alternative contract language as required and manage all contract submissions for the East Region to ensure compliance with the Company’s risk mitigation tolerances and practices. Participate in and/or negotiate contracts with customers, subcontractors, vendors or other parties. Resolve legal issues affecting the East Region, appropriately balancing business objectives and risk management considerations in alignment with the company’s stated values. Provide ongoing education and support to Regional personnel for legal compliance in execution of their responsibilities. Perform legal research as necessary to resolve complex legal issues and determine the appropriate course of action regarding a particular issue/case. Interpret existing and new laws, rulings and regulations and determine how they apply to the East Region. Assist in preparing documents for real estate transactions, including leases, acquisitions and dispositions. Conduct research for advice on environmental, regulatory and claims/litigation issues. Review and manage the Regional Contracts Manager, Subcontracts Specialist and Business Insurance Coordinator in the particular Contracts, Subcontracts, Business insurance and related documentation in line with the East Region’s scope of responsibility, cost implications and project specific requirements. Identify within the contract and bid documents the overarching business risks associated with the commercial terms or with the project specific terms and specifications of the contract. Participate with the proposal team in the development of the risk management template and risk management plan for certain large projects as requested by the East Region’s RVP or OVP. Actively participate as a member of the East Region Senior Leadership Team, with responsibility for supporting the RVP/OVP in executing strategy and dealing with a broad range of legal issues. Identify and provide advice regarding underlying contract issues for the project team and management to consider. Outline the potential legal or financial impacts regarding East Region’s obligations and expectations as identified by the customer in the bid request. Confirm that additional regulatory classifications and/or insurances are not required to protect the company’s East Region based on contract’s project specific or scope requirements, e.g. working around railroads, waste disposal activities, purchasing and warehousing of materials, etc. Participate or lead negotiation discussions with customers, vendors, subcontractors or other third parties as needed with the objective to eliminate or minimize risk per the terms of the contract as they relate to the company. Ensure the company’s operational best interests are represented in all negotiations or dealings with customers, vendors, subcontractors or other third parties. Manage all contract submissions for the East Region to ensure tracking, approval and version control are in place. Actively work with East Region Operations to ensure contract terms and requirements are understood or communicated to those responsible for the project delivery. Ensure that East Region’s Operations is properly utilizing subcontracts with flow down provisions for subcontracted work elements. Identify contract compliance issues when they become evident and assist with Operations/Project Team to correct the issues. Supervise/manage Regional Contracts Manager, Subcontracts Specialist, Regional Claims Manager and Business Insurance Coordinator and guide their professional development. Investigate, respond to and resolve difficult and sensitive customer inquiries and complaints. Provide staff assistance to Company’s Associate General Counsel and General Counsel and performs other related duties. Juris Doctorate from an accredited law school and admission to practice law in the state required. Experience and knowledge in risk management and evaluation required. Ability to manage multiple projects in a fast-paced environment with quick response time required. Professional demeanor and team player with high degree of confidentiality required. Utility Infrastructure (UI) or construction industry work experience preferred. 7+ years in related legal position required. Strong interpersonal communications skills (both written and verbal) and the ability to effectively work with cross-functional teams required. Strong organizational skills, extremely detail oriented required.
