ProfileAssociate General Counsel The candidate will support the Company’s growing global sales operations with primary responsibility for the following: (1) to play a substantive role in the Company’s contracts function; and (2) to negotiate SaaS subscription services agreements, as well as commercial software licenses for the Company’s HR software that is licensed on a perpetual and hosted basis. Supervise and provide guidance to more junior attorneys and contractors, contributing to the development and implementation of contracts efficiency measures and reviewing and negotiating software license and subscription agreements, professional services agreements, statements of work and amendments/renewals. Regularly interact with sales personnel and internal business partners in all departments, including senior executives, sales, support, security, finance, HR and other groups will have significant ownership and responsibility within the Legal Group’s Contracts function and will benefit from a strong culture of collaboration, professional development and support. Work on partnership agreements, vendor agreements, NDAs, RFPs, company policies, forms and procedures (notably privacy and security policies and procedures) and provide support in other areas. Play an integral role in an exciting growth environment, will be a valued team member and will be called on to contribute to an ongoing initiative to maximize the group’s efficiency. Play a substantive role in the Company’s contracts function in a high volume, sales-focused environment. Contribute to the development and implementation of contracts process efficiency measures, with strong cross-functional coordination in the quote-to-cash cycle. Draft software license, subscription and services agreements for customers and prospects. Respond to various commercial contract inquiries to support the Sales team and other Company initiatives. Understand revenue-driven priorities and flexibility in schedule for quarter-end close and other key processing occasions. Ability to manage a team and multi-task, delegate and deliver key projects; while managing a high volume of assignments with varying priorities in a fast-paced environment. Strong business orientation, including understanding accounting and financial concepts required. Juris Doctorate Degree from an American Bar Association accredited law school and 10-15 years of licensing experience required. Meaningful and substantive experience drafting, negotiating and analyzing complex software agreements (license and/or SaaS) is required for this position. Prior in-house legal experience at a software/ technology company required. International experience preferred. Excellent knowledge of laws and regulations (including privacy laws and security concerns) applicable to corporations in general and software companies in particular required. Understanding of key SaaS contracting issues (e.g. security and privacy issues) required. Excellent written and verbal communication skills required. Effectively communicate complex ideas or legal concepts in an easy to understand manner through all levels and functions within the Company required. Superior drafting skills, especially the ability to draft contract language required. Ability: to effectively and efficiently negotiate agreements over the phone or in–person; to escalate critical issues to senior management; to read and understand complex contracts and other legal documents; to quickly learn a new area of the law with minimal instruction required.
