ProfileCorporate Counsel The candidate will primarily be responsible for negotiating and drafting software license, maintenance, distribution and service agreements, teaming and partner agreements, conducting complex contracts negotiations, and otherwise supporting a broad range of transactional matters. Work closely with Sales Operations and Revenue departments to help define and construct contract agreements and revenue models. Counsel Business Units and other organizations on contract negotiation objectives and strategy, general IP strategies and issues and/or dispute resolution with third parties. Act as a trusted advisor on legal issues to all levels of BU personnel, up to and including senior executives. Conduct due diligence for acquisitions, as needed. Experience handling licensing and commercial transactions at a publicly traded software company and, if an attorney, 1-2 years of law firm experience in either a corporate or contract attorney setting. Solid background in drafting and negotiating software licenses (including cloud, SaaS and hosted service services agreements,) and related out-bound technology transactions agreements required. Prior legal/contracts experience in distribution channel matters preferred. Understanding: of software revenue recognition principles; of how a Legal Department interacts with Sales and other departments preferred. Excellent communication skills required. Firm understanding of legal terms and concepts required. Ability to use Microsoft Office components without the need for other administrative support required. Experience with public sector commercial contracts required. Knowledge of software security preferred. Knowledge of or experience with HIPAA, HITECH, and their implementing regulations preferred. JD degree and active state Bar membership preferred. 1+ year of contract negotiation skills preferred.
