Associate General Counsel The candidate will provide legal support to the company’s purchasing (including group purchasing) and supply chain functions. The incumbent reviews, drafts and negotiates contracts and related legal documents of substantial complexity and value with vendors and suppliers, ensuring compliance with applicable laws and regulations. Review, draft, and negotiate a wide array of vendor and supplier contracts, including without limitation medical device and pharmaceutical procurements, large capital/maintenance agreements, consulting services, software license agreements and other purchased services. Perform legal review and analysis to ensure contracts are compliant with all applicable laws and regulations, including without limitation Anti-Kickback Statute, Stark Law, and HIPAA, as well as accreditation requirements. Review and revise corporate documents and policies and procedures as necessary. Advise the organization on the litigation and other risks of potential business decisions. Add strategic value and collaborates with others to meet organizational goals and business objectives. Review and monitor relevant case law, changes to relevant state and federal laws, and regulatory guidance. JD and 7+ years experience required, including significant experience advising health care clients required. A thorough understanding of contract law and general commercial law, including Uniform Commercial Code, and of the major Federal and state laws and regulations that govern non-profit/corporate health care providers is required. A proven track record of strong negotiation, communication, organizational and people management skills and the ability to collaborate and build relationships are required. Experience in a law firm or in-house is required, with substantial experience representing health systems or hospitals preferred. Outstanding interpersonal skills and excellent oral and written communication skills required. License to practice law/member in good standing of state bar required.
