Associate Counsel II The candidate will draft and negotiate a wide variety of contracts, including complex sales, engineering and services agreements that comply with company policies and risk tolerance. Provide advice on legal issues and risks, deal structures, negotiation strategy and company policies and procedures to all levels of the Company, including Operations, Sales and Marketing, Finance, Engineering, and Business Development. Assist in the monitoring of and compliance with federal, state and international laws. Assist in other general transactional and corporate matters as necessary. Serve as a trusted chief legal advisor and supports the Sales and Marketing and Engineering teams. Ensure that relevant legal and regulatory issues are understood and appropriately addressed in the company’s contracts, policies and practices. Support the legal team by identifying and mitigating legal risk to protect the company from undue legal exposure, liability and financial loss. Counsels and facilitates achievement of strategic and operational objectives. 3-5 years experience required. Solid experience drafting and negotiating contracts. Pluses include: Intellectual property experience; Defense and aerospace contracting experience; Dispute resolution experience o Compliance training and oversight experience; Language skills.
