ProfileAssociate General Counsel Reporting to the General Counsel, the candidate will provide leadership, direction, and development of contracts by drafting, developing, implementing and maintaining contracts and subcontracts consistent with FAR and DFARS requirements and industry best practices, including systems, policies, processes and procedures to develop all contract and subcontract related activities. Build and manage a team of government contracting and subcontracting experts. Duties encompass the development and implementation of processes associated with proposal engagement, contract administration and close out of commercial and government contracts and subcontracts. Responsible for leading all contractual matters involving relationships, contractual agreements and obligations ensuring that the organization complies with all relevant regulations, terms and conditions. Experience in Foreign Military Sales (FMS) and Direct Commercial Sales (DCS) of US based military hardware is an added plus. Develop and execute strategies for the full cycle of the contracts and subcontracts, from requirements to execution and administration. Develop a high-performing contracts team and building contracting awareness and capabilities across the Organization. Manage contract department priorities and team assignments to meet organizational objectives and defined timelines. Develop agreements maximizing benefits to the organization and minimizing risks. Review and resolve issues affecting company regulatory compliance (FAR, DFARS, ITAR, FCPA, FAA), ensuring satisfaction of legal requirements, company and customer objectives. Participate in negotiations, oral discussions, and debriefs. Perform highly complex contract administration duties. Interface with DCAA and other auditors and oversees audit process. Oversee the contract administration process and interface with the DCMA. Prepare and oversee risk analysis and participate in competitive analysis. Assess, implement and promote awareness of regulatory changes (FAR / DFARS / ITAR). Serve as an advisor in procurement planning and preparation, government meetings and contract work efforts for compliance activities and needs. Identify and organize team resources responsible for implementing contract strategies. Direct the development and negotiation of complex agreements with customers. Responsible for setting goals and objectives ensuring the company contracting objectives are met. Carry out supervisory responsibilities in accordance with the organization's policies and applicable laws.
Qualification and Experience
An undergraduate and a JD degree from top schools, MBA preferred. 10+ years of relevant legal experience, in-house experience is preferred. Progressive experience in drafting, negotiation and administration of government contracts required. Significant: experience with Export Control licensing and compliance; experience with FCPA and anti-corruption compliance required. Demonstrated understanding of government contract law, including FAR and DFARS issues required. Experience with managing contracts staffs or other related management experience required. High degree of technical knowledge relative to negotiation and administration of government contracts required. Expertise in drafting, negotiation and administration of all contracts, including FMS contracts and DCS contracts required. Experience leading government contracts team required. Proven track record in developing and implementing contracting strategies with the government, that meet business objectives required. Basic understanding of financial/accounting analysis including ability to develop cost-benefit analysis for various scenarios required. Strong interpersonal and communication skills (written and verbal) with the ability to produce and deliver presentations to a wide range of audiences required. Demonstrated experience with Microsoft Office Programs (Word, Excel, PowerPoint, Visio, etc.) and intermediate skills required in Excel and PowerPoint required.
