ProfileSenior Legal Counsel The candidate will provide critical support primarily to the Sales Region (and to other regions as needed) by effectively drafting, negotiating and finalizing customer contracts and associated agreements and documents in a timely fashion and in accordance with the company’s policies and procedures to serve the company’s new customers as well as its existing customer base, thereby contributing to the company’s overall revenue growth. Provide support and guidance on a variety of legal matters to other company divisions on an as-needed basis. Structure, draft, negotiate and finalize satellite capacity and managed services agreements (e.g., transponder lease agreements, value-added service agreements, managed services agreements, end-to-end service solution agreements) in a professional and timely manner in response to customer service requests generated by the Sales Region. Create special contract language and tailor agreement provisions to satisfy unique customer service requirements and/or address special business situations (e.g., company fleet deployment plan consequences). Support the Networks sales team for the Sales Region in complex contract negotiations with customers and modify contract terms in response to customers’ requests while maintaining appropriate legal protection for the company. Regular interface with Sales, Commercial, Asset Management, Sales Engineering, Finance, Regulatory, Spectrum, and Tax departments, on all legal matters associated with commercial agreements and ensure that contract terms are accurately captured in company contract management database. Interpret and summarize rights and obligations under existing agreements. Provide assistance with special projects as needed (e.g., satellite-specific contract review and analysis in support of company fleet deployment plans and satellite contingency plans). Draft and negotiate, as appropriate, other agreements, such as term sheets, consultancy contracts, assignment agreements, NDAs, agency type of arrangements, etc. Liaise with specialized outside legal counsel and manage outside legal counsel on an as-needed basis. Proactively identify legal issues and risks for management consideration; provide corresponding counsel and advice regarding such issues and risks, including the provision of appropriate risk mitigation strategies. Manage outside counsel on specialized matters, including public procurement laws, local laws, litigation and international law. Proactively manage dispute resolution matters related to customer contracts and other activities. Participate in and/or manage special projects. Perform such other tasks as required. University Law degree (Masters in Law) and 6-10 years relevant legal experience in international environment, preferably in the telecommunications industry or law firm required. Excellent oral and written communication (including drafting and negotiating) skills required. Must be fluent in English and Spanish languages. Experience with international oriented and demanding commercial environment required, Excellent commercial transaction negotiation and drafting skills required. Ability: to maintain high level of legal risk mitigation for Networks; to work across multi-function, multi-level, and multi-cultural groups; must be a team player required. Strong: ability to manage time, set priorities and work independently in an international oriented and demanding commercial environment; ability to work accurately and in an organized manner with attention to detail required. Familiarity with or ability to acquire knowledge of the regulatory and institutional frameworks applicable to SES Networks’ activities in the Sales Region required.
