General Counsel Reporting to the Chief Financial Officer, the candidate will work provide strategic corporate direction and guidance on day-to-day transactional work and lead the Legal staff in interactions with internal clients as well as external customers. Interact internally with senior management on a broad spectrum of functions, including finance, sales, human resources, corporate governance and compliance services. Provide legal advice on commercial matters, customer contracts, intellectual property matters and dispute resolution support. Serve as key legal advisor on major business transactions. Lead, manage, and develop the legal function. Provide senior management with effective and sound legal advice. Work closely with Sales in developing effective customer contract solutions. Provide hands on guidance on contracts and compliance issues. Ensure compliance with federal and local guidelines. Provide due diligence and integration support with M&A activity. Consistently anticipate, provide timely evaluation and propose resolution strategies on potential risks in contractual, regulatory, compliance and legal areas. Develop, implement and improve legal and compliance processes, procedures and training. Oversee the management of all litigation, disputes, and investigations providing timely guidance to management of potential liabilities and mitigation strategies. Draft, negotiate and review commercial contracts. 10+ years of experience in corporate law and corporate governance including 5+ years experience managing an internal Legal staff required. Demonstrated: success in contract negotiation, dispute resolution, IP strategy; knowledge of key legal principles in relation to contract law, privacy law, software licensing, intellectual property and dispute resolution and litigation required. Good understanding of legal principles applicable to a global company required. Proven M&A experience required. Excellent: personal skills and proven ability building positive and productive relationships with colleagues and customers; written and oral communication skills required.
