ProfileCorporate Counsel The candidate will be responsible primarily for drafting, negotiating and managing contracts across the company’s Solutions Business Services units, primarily in the United States but also supporting a growing Brazilian operation. Work closely with internal and external clients as well as other attorneys and paralegals. Independently and proactively advise business units in the United States and Brazil on legal matters, specifically in the areas of contract negotiation, regulatory and compliance matters. Review, markup and draft contracts (from forms and from scratch). Help negotiate and close deals, including master services agreements, statements of work, licenses, RFP responses. Provide rapid, practical, business-oriented legal/commercial contract advice directly to business clients operating in the United States. Internationally this position will help support and develop legal processes for growing newly established Brazilian operations. Apply innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk and foster long-term client relationships. Spot and manage issues. Investigate the facts, research the law and prepare concise summaries including legal recommendations. Escalate matters as appropriate within the legal department and business clients. Respond to inquiries from regulatory agencies, customers and business community. Anticipate and mitigate potential legal problems within the assigned vertical. Develop strategies to avoid litigation and reduce potential areas of risk. Negotiate and/or approve changes to legal documents requiring an intermediate level of expertise. Manage assigned projects to completion. Assist more senior attorneys and management in higher level matters, as needed. J.D. degree (or equivalent) from an accredited law school required. License to practice law in any US state or the District of Columbia required. Brazilian legal education and experience preferred. 5+ years of relevant experience in a law firm and/or corporate legal department; in-house corporate legal department experience preferred. Excellent verbal and written communication skills required. Proficiency in Portuguese (including legal drafting) preferred. Experience handling technology contracts, anti-bribery compliance, data privacy, regulatory and privacy matters preferred. Analytical and research skills required.
