ProfileGeneral Counsel The candidate will report to the Company President and is responsible for all legal matters for the Company and its subsidiaries. This includes, without limitation, intellectual property issues, litigation, employment matters, regulatory matters, compliance, and contract negotiation. A significant role is to both manage a legal and contracts team as well as individually contribute to support Sales teams for the resale of hardware, software, and services, including cloud computing subscriptions, of our third-party business partners and suppliers. In addition, support the sales of the Company’s own expanding range of professional services offerings, which requires negotiation of teaming agreements, statements of work, and agreements with other prime or subcontractors. Supervise other attorneys that comprise the Legal Department and will also oversee and manage the Company’s various contracts activities that deal with customer contracts as well as vendor/supplier relationships and subcontractors. In collaboration with other Department heads, play a major role in developing and promulgating, as well as and monitoring Company performance of, the compliance activities of the Company, such Business Ethics policies, Affirmative Action, and government certifications, as well as compliance with the policies of the Company’s business partners and customers. A Juris Doctorate (J.D.) degree and is an active member of the state bar in good standing required. Experience working as a General Counsel or in a commensurate role in the public sector, with 7+ years in a business environment or law firm with focus on contracts in technology-related professional and consulting services and product sales required. Experience providing contracts support for consulting services, hardware and software sales for a reseller or manufacturer that provides products and services to federal, state and local government and commercial customers required. Very strong knowledge regarding the body of law applicable to the business of the company, including but not limited to commercial contracts, intellectual property, technology transactions, licensing agreements, and government contracts required. Ability to apply knowledge of the business to an appreciation of financial issues and profit and loss implications required. Proven record of establishing and maintaining effective working relationships with co-workers, customers, prospective customers and vendors required. Knowledge of current trends and practices of the technology and professional services required.
