ProfileAssistant General Counsel - Corporate/Transactional The candidate will be responsible for handling general corporate transactional matters, requiring familiarity with intellectual property (IP) related issues that arise in service agreements, development agreements, consulting agreements and other technology related agreements to support our design and manufacturing of products. Must have JD degree from an ABA accredited law school and membership in good standing with one State Bar. Should have 12+ years of relevant general corporate and transactional legal experience with a major law firm and corporate law department. Experience with actively drafting and negotiating contracts of various degrees of complexity is needed. Experience counseling business units on a variety of issues including commercial matters, contract negotiations, corporate M&A activities, procurement-related matters and best practices for corporate policies and procedures is must. Experience in IP or technology related matters, including experience with drafting and negotiating contracts, oversight of mergers and acquisitions activities, drafting and implementation of corporate policies and procedures, and day-to-day counseling and advice at a major law firm and corporate law department is essential. General experience with compliance or litigation matters would be a plus. Previous experience in a corporate law department of a foreign-based global manufacturing company is preferred.
