ProfileCorporate Counsel Duties: Provide legal counsel and representation on a variety of legal risks and opportunities including general corporate law, commercial contracts, legal and regulatory compliance (including SEC), tax and entity work (company and subsidiary minute oversight), employment and benefits law, corporate governance, and other areas of the law relevant to the business. Will work closely with the procurement, treasury, accounting, human resources and other corporate departments. Dual reports to Associate General Counsels. Review, draft and negotiate numerous commercial contracts, including non-disclosure agreements and ancillary legal documents. Lead corporate capital structure maintenance and record-keeping, interacting with Company’s transfer agent, NYSE, and other constituencies. Assist in securities law matters (Form 10-K, proxy statements, Form 8-Ks, etc.). Lead real estate legal portfolio, keeping accurate records of all outstanding obligations/locations. Assist with M&A diligence and integration of transactions. Assist with maintenance of the Company’s internal diligence records. Primary corporate counsel to Procurement function, servicing agreements for indirect and direct supplies and services. Assist in preparation of employment contracts, executive compensation matters, benefit plan documentation and other general employment and compensation work. Ensure that transactions are sound and comply with the Company's policies and all applicable laws, rules, and regulations. Ability to supervise outside needs on a cost-effective basis. Provide high caliber legal advice and counsel on a proactive basis to executives, senior managers and employees with respect to legal issues affecting the business. Handle other corporate matters (environmental, intellectual property, etc.) as they arise. Perform other job functions as assigned.
Qualification and Experience
Qualifications: Four year college degree (excellent academic credentials). JD Degree (excellent academic credentials) from an accredited law school and Missouri State Bar certification. 5+ years legal experience with a law firm and/or in-house company (preferred) with experience working with contracts and other complex legal documents. Strong verbal and written communication skills, detail-oriented, effective negotiation skills. Must be able to demonstrate ability to balance business expectations with compliance with the Company's policies and preferences through negotiation and appropriate escalation.
