ProfileGeneral Counsel Duties: Lead corporate strategic and tactical legal initiatives, provide senior executive management with effective and sound legal advice on company strategies and their implementations, manage the legal function, and obtain and oversee the work of outside counsel. Will be directly involved in complex business transactions of various degrees. Will also be assisting with potential M&A work, working with Lobbyists and Legislature, and continuing work on our expanding patent portfolio. Help with contracts, negotiations, and implementation oversight of processes. Review proposed changes requested by customers, vendors, employees and others to standard company contracts and non-disclosure agreements. Manage legal review requests from inception to completion to ensure timely follow-up by outside counsel and appropriate billing. Provide assistance on potential M&A possibilities. Implement and maintain corporate standards and procedures for records retention, retrieval and disposition of the Company’s vital business records. Analyze and summarize legal documents including contracts, making suggestions for alterations of those documents. Support corporate policies and procedures related to standards of legal and ethical conduct. Ensure that legal transaction work is of high quality, timely, and that interests are appropriately protected. Consistently support compliance by maintaining the privacy and confidentiality of information, protecting the assets of the organization, acting with ethics and integrity, reporting non-compliance, and adhering to applicable federal, state and local laws and regulations, and the Company’s policies and procedures. Responsible for working with CEO and CFO on selections, management and review of outside counsel. Serve as key legal advisor on major business transactions. Work with USPTO on patent and trademark issues. Help changing the gift card space by working with Lobbyists and Legislature as we continue to develop an industry-changing product.
Qualification and Experience
Qualifications: Advanced degree or J.D. degree from A.B.A. accredited law school. Current member in good standing of the PA State Bar. Patent or trademark experience desired. Prior involvement in M&A work. 10 years applicable working experience as a General Counsel in an in-house position for a national product manufacturer, retailer, or services company. Customer or vendor contract review & negotiation experience. Experience in contract negotiation and drafting. Experience in counseling senior executive management. Solid written and verbal communication skills. Must be extremely detail oriented with a strong focus on accuracy. Must be able to lead through influence and have the highest ethical standards. Must be able to thrive in a fast-paced, dynamic environment while managing shifting priorities. Have significant legal experience, have great organizational skills, have high level of charisma and passion for the position, and have finance and/or gift card experience Effective verbal and written communication skills, including presentation skills, in all interactions with senior management, corporate departments and all levels of employees. Strong analytical and communication skills to distill advice from subject matter experts and frame issues succinctly and clearly, allowing management to make informed decisions Developed business acumen, with ability to understand the company's business and anticipate the nature and magnitude of issues that could arise in various settings. Reputation for working well with internal and external clients. Sound judgment in evaluating and mitigating risk. Ability to resolve complex situations in an inclusive but decisive manner. Accept responsibility and accountability for achieving results. Proficient in the use of personal computers, internet and Microsoft Office suite of software including Word, PowerPoint, Excel and Outlook (or related e-mail system). Ability to drive projects to an effective conclusion with effective project management and planning skills, while providing high attention to details and follow-through. Proven ability to make sound decisions within established guidelines. Must be willing to manage a heavy workload under strict deadlines. Must have the ability to concisely make recommendations to effectively resolve problems or issues, by using judgment that is consistent with standards, practices, policies, procedures or regulation. Ability to demonstrate flexible and efficient time management and to appropriately prioritize workload based upon organization’s needs. Must have high degree of professionalism and integrity and ability to handle confidential information appropriately. Preferred: Database management, trademark portfolio management. General Intellectual property (patent & trademark) experience. Patent and trademark experience a plus. Prior experience working with Lobbyists and Legislature.
