Commercial Attorney - Senior Counsel The candidate will provide legal advice and counsel to division in support of the Divisional General Counsel, and to the Pharm-Bio business leadership, advising the businesses with regard to US legal issues in a global context, including identification of legal risk, and liability avoidance. Draft/ review and negotiating a variety of contracts for MPD and Pharm-Bio (including, sales to OEMs, joint development, cooperation, distribution, real estate and cross-divisional agreements). Provide legal advice to the division’s Contract Function on a wide variety of contracts (including sales, HCP services, supplier, group purchasing organizations, direct and indirect procurement, product distribution, consulting, grants, image releases, data privacy consents, collaborative research, clinical study and evaluation and non-disclosure agreements). Collaborate with the Contracts Function to develop and revise templates for the division as part of the Legal Commercial/Contracts Team. Support in the provision of regulatory and compliance advice related to the division and Pharm-Bio businesses. Provide legal advice on research and commercialization of new products, reviewing web-based, digital and traditional advertising, promotional and marketing collateral. Coordinate with the in-house legal specialists, as well as outside counsel, to secure necessary expertise to ensure that the businesses’ needs are met. Work closely with the business groups including leadership of the division and Pharm-Bio businesses. Work across various groups both within the Global Legal Team and company’s various businesses. Juris Doctor (J.D.) and 5+ years of related legal experience, including in-house corporate experience in a regulated industry required. Admitted to a US state bar as an active member. 3+ years of experience in the areas of medical device industry, or with pharmaceutical, biotechnology or diagnostic companies - related regulatory compliance, data privacy, commercial transactions, contracts and product distribution matters required. Work directly with and effectively communicate orally and in writing with business associates. Function independently and in a self-directed manner while also working effectively within a dynamic, highly cooperative team environment across several time zones. Direct experience within the medical device industry preferred. Experience as an in-house corporate counsel preferred.
