Senior Counsel, Supply Chain Responsibilities: Negotiate, draft and review a broad range of contracts, including supply agreements, security agreements, promissory notes, first refusal agreements, merchandising and marketing contracts, and procurement and service agreements covering cross-functional areas of the business. Handle all legal aspects of Company real estate transactions, including negotiating, drafting and reviewing APAs, leases, subleases; seeing purchases and sales through to closing; advising on real estate aspects of mergers, acquisitions and divestitures. Analyze and advise on real estate and contract interpretation, breach issues, disputes, terminations and remedies. Oversee the creation and modification of standard form documents for customer transactions, and the establishment of corporate standards for incorporation in standard form documents. Represent the Company in a broad range of business transactions, including complex transactions for large scale enterprise solutions and technology platforms, outsourcing (both as a customer and as a service provider), professional services, procurement, marketing, and pharmacy script purchases and sales, which may involve advising on transaction structures, helping to develop strategies for dealing with vendors, and negotiating, drafting, and reviewing contracts. Perform complex fact gathering and legal research with minimal supervision, and oversee other associates performing these tasks.
Qualification and Experience
Requirements: JD Degree with superior academic credentials from a nationally-recognized law school. Membership in appropriate state bar and in-house counsel status if necessary. Demonstrated knowledge and experience handling real estate transactions and drafting and negotiating real estate purchase agreements and leases is required. Demonstrated knowledge and experience drafting and negotiating complex contracts is required. Experience with legal issues regarding distribution and retail industries is preferred. Assertive self-starter with excellent verbal and written communication skills. Strong interpersonal skills and superior time management capabilities; ability to multi-task and successfully handle multiple priorities. Proven project leadership, management and organization skills, with attention to detail and demonstrated ability to obtain superior results with a sense of confidence, urgency and a bias for action. Proven ability to provide practical and strategic legal advice to business units and proactively identify business improvement areas; sound business and legal judgment.
