Corporate General Attorney Job Description

The General Corporate practice area covers advice given to corporations and their officers, directors, and controlling shareholders. Attorneys in this practice oversee the formation, governance, and day-to-day legal problems of corporate entities. Their advice can also involve board conduct, executive compensation, shareholder agreements that involve board representation and voting rights, federal and state regulations compliance that affects the client’s particular industry, commercial contracts with the corporation’s customers and suppliers, the sale of corporate of securities; communications with accountants, commercial bank lenders, investment bankers, stockholders, creditors and customers, proxy statements sent to stockholders as well as the preparation of any disclosure filings with the SEC.

General Corporate Attorney

Duties: Negotiate and draft agreements with third party vendors for CBS Treasury, Strategic Sourcing and Human Resources departments Manage the corporate legal aspects of domestic and international subsidiary matters, including among other things: Supporting the Tax department with respect to internal restructurings and the Treasury function with respect to cash movements, Managing the legal process for the formation, maintenance and dissolution of entities, Providing corporate legal support for M&A transactions involving subsidiaries, and Managing the delegation letter process Assist in developing and maintaining Company business guidelines/policies. Prepare and/or manage Hart-Scott-Rodino and foreign anti-trust filings. Provide legal advice on political contributions.

Qualifications: JD degree from accredited law school; Bar admission; excellent academic credentials. 4-6 years of relevant experience and demonstrated success advising clients at a major law firm and/or an in-house position. Superior writing and oral communication skills. Attention to detail. Excellent interpersonal skills and highly team-oriented. Superior work ethic, well organized and able to manage numerous projects simultaneously.
