'This practice area refers to mergers and acquisitions, amended as M&A. M&A transactions occur when the ownership of companies, organizations or their operating units are combined or transferred. M&A attorneys assist their clients with the appropriate financing for these mergers and acquisitions and provide advice concerning the drafting, negotiating and performance of the contracts for the sale of portions of the companies. The substantive legal knowledge in M&A also includes state corporate, contract and fiduciary duties law as well as federal securities law.

The candidate must have 8-11 years of pqe with significant corporate transactional and M&A experience. Will assist domestic and international clients with a variety of corporate matters, including entity formation, joint ventures, licensing and the sale of businesses, and will be responsible for drafting and negotiating transaction documents such as stock purchase, asset purchase, credit agreement, merger, redemption, confidentiality and non-disclosure, IP license and secondment agreements.

The candidate should have 3-5 years of experience in corporate transactions with an emphasis on public and private M&A, including private equity transactions. Must have solid experience with acquisition agreements and related securities filings and other documentation utilized in complex M&A and private equity transactions. Must have the ability to lead M&A transaction from inception to closing, and have experience leading due diligence teams, and related experience in general corporate and corporate governance matters. Must have NY Bar admission in good standing.
