'Here are a few sample in-house corporate attorney job descriptions: In-House Corporate Attorney The candidate will be providing counsel to business leaders with respect to all M&A/Corporate legal aspects, asset acquisition and strategic restructurings; corporate governance, including oversight of, and legal reorganizations within the US consolidated group; independently lead and execute all facets of challenging transactional engagements from preliminary/conceptual advice, through restructuring, due diligence, negotiating, drafting, closing, integration and post-closing conflict resolution. Prepare documents, closing statements, communication and agreements for financing, mergers and acquisitions, as well as general corporate documents. The candidate should have 4-6 years of relevant corporate law experience within a corporate department or law firm environment. Experience with state licensing, governance and strong corporate practice is required. Excellent written/verbal and communication skills and familiarity with multi-jurisdictional and multi-cultural transaction partners is a plus. In-house Corporate Attorney The candidate will be responsible for negotiating and drafting transactional documentation and in acquisitions and divestitures. Will also prepare and review 34 Act filings, such as 10-Ks, 10-Qs, 8-Ks and annual proxy statements as well as monitor compliance with New York Stock Exchange and SEC rules and regulations. Will assist operations with day-to-day legal related matters, such as landowner negotiations, customary oil and gas leases and JOAs and other contracts, confidentiality agreements and offer letters. Also assist operations and other personnel in external disputes regarding landowner or mineral owner matters. Must have 5-7 years of transactional experience (a mix of securities and mergers and acquisitions experience). Must have on-point E&P mergers and acquisitions experience, preferably coming from BIGLAW or another upstream company.
