Corporate Paralegal Jobs Corporate law covers the study of the interaction of directors, employees, creditors, consumers, shareholders, the community, and the environment with one another, under rules guiding the firm. Corporate paralegals identify and gather required information from clients to draft partnership agreements and related filings with various agencies. Main duties include: drafting the articles of incorporation, by-laws of the company, minutes of the company, and stock certificates; identifying securities for registration and prepare appropriate forms; drafting amendment or restatement of articles, dissolution of the corporation, and articles of merger; and drafting of buy-sell agreements, employment agreements, assignments, promissory notes, and leases. Other duties include preparation of stock certificates, loan documents, as well as various other documents required by financial institutions. They are also responsible for drafting minutes, resolutions, waivers, and approvals of action without meeting and related documents. They also check the availability of a corporate name. An Associate’s degree in paralegal studies or a Bachelor’s degree with a certificate in paralegal studies is required for paralegal jobs. Familiarity with the federal, state, and county forms with regards to corporations and partnerships is needed. The average salary for a corporate law paralegal is approximately $49,000
