Corporate Lawyer (Mergers and Acquisitions)
The candidate responsibilities will include: Negotiate and draft, asset purchase agreements, share purchase agreements, equity investment agreements, merger agreements and other related agreements. Manage outside counsel in the negotiation and drafting of such agreements. Handle selected competition authority merger filing and other reporting obligations relating generally to M&A. Seek appropriate guidance and involvement of other relevant functions, such as purchasing, accounting, sales, and marketing, and facilitate approval of transactions by management. Perform multiple tasks must often be performed contemporaneously, requiring understanding of issues surrounding personnel, finance, contracts, corporate structure, and technology. Perform duties independently with instruction given on new projects or assignments.
Qualification and Experience
The candidate should have LLB or equivalent law degree and post qualification practicing certificate. Should be member of European Bar or equivalent. Should have 4-6 years experience in a law firm or in-house (FTSE 200 or equivalent). Experience within Mergers and Acquisitions is required. Should have a background in Mergers and Acquisitions (M&A) to join expanding Legal Division. Should have knowledge of merger and acquisition practices, often cross jurisdictional. Must have ability to recognize when to seek the advice of the Head of Regional Law, Head Counsel, M&A; Chief Legal Officer; other company personnel; or external consultants is important. Should have ability to interact with members of the parent company and local subsidiary Boards of Directors, executive and regional leadership and outside counsel in a wide array of fields and jurisdictions. Ability to facilitate win-win situations and gain the trust of all parties is needed.
